It is legal advice that is obtained from a lawyer, outside of the relationship that a client may have with someone else in a common venture. The legal representative for the party getting the benefit will usually require that the person securing the benefit understands the obligations and detriments and, therefore, needs to be legally advised by an independent and arm’s length professional (lawyer) capable of giving such advice.
It is usually understood that the purpose of ILA is to ensure that the person signing an agreement or guaranteeing certain obligations for others or prepared by another party understands its contents and all possible consequences of signing the agreement or signing as a guarantor. The consequences can be minimal or none at all.
In cases where financial matters are involved, there can be extreme or onerous legal or financial responsibilities, obligations and or consequences. The person in need of or seeking ILA needs to understand any commitment they are undertaking and, as well, be fully apprised of any and all legal or financial rights detriment.
Effective ILA effectively seeks to help to prevent the uninformed and illuminates the landscape exposing unseen and unintended traps for the unsuspecting client entering into an agreement or guarantor on behalf of another.
